Direct Seller Contract

This Direct Seller Contract ("Contract") is entered into between Avnue Fashion India Marketing Pvt Ltd ("Company") and the undersigned individual ("Direct Seller") on the date of acceptance of this Contract.

1. APPOINTMENT

The Company hereby appoints the Direct Seller as an independent contractor to sell its products in accordance with the terms and conditions of this Contract. The Direct Seller accepts such appointment and agrees to act in the best interest of the Company.

2. RESPONSIBILITIES OF THE DIRECT SELLER

A. The Direct Seller shall promote and sell the Company's products in compliance with all applicable laws, regulations, and Company policies.

B. The Direct Seller shall maintain accurate records of sales transactions and provide timely reports to the Company as required.

C. The Direct Seller shall not engage in any deceptive, misleading, or unethical practices in connection with the sale of the Company's products.

3. COMPENSATION

The Direct Seller shall receive compensation in the form of commissions based on sales volume, as outlined in the Company's compensation plan. The Company reserves the right to modify the compensation plan at its discretion.

4. TERMINATION

Either party may terminate this Contract upon written notice to the other party. In the event of termination, the Direct Seller shall cease all sales activities on behalf of the Company and return any Company property in their possession.

5. CONFIDENTIALITY

The Direct Seller shall maintain the confidentiality of all proprietary information, including customer lists, pricing, and marketing strategies, and shall not disclose such information to third parties without the Company's prior written consent.

6. GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of India. Any disputes arising under or related to this Contract shall be resolved through arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act.

7. ENTIRE AGREEMENT

This Contract constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements and understandings, whether written or oral.

By signing below or accepting electronically, the Direct Seller acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Contract.
